Terms of Service

These Terms of Service ("Terms") form a binding legal agreement between you ("User," "you") and Trance Intelligence LLC ("TranceAI," "Company," "we," "us," or "our"), governing your access to and use of the website located at usetranceai.com, and any related applications, dashboards, or services (collectively, the "Platform" or "Service"). By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Risk Disclosure (including its Assumption of Risk provision), and our Disclaimer, each of which is incorporated by reference. If you do not agree, you must not access or use the Platform.

You must be at least 18 years old, and of the legal age of majority in your jurisdiction of residence, to create an account or use the Platform. By using the Platform, you represent and warrant that you meet this requirement and that your use of the Platform does not violate any law or regulation applicable to you, including any restrictions relating to cryptocurrency market data, trading-related content, or financial commentary in your country of residence. The Platform is not directed at, and may not be used by, residents of jurisdictions where its content would be unlawful.

Before creating an account, you will be required to affirmatively acknowledge (by checkbox or equivalent click-to-accept action) that you have read and accept the full Risk Disclosure, which is incorporated into these Terms by reference. By doing so, and by continuing to use the Platform, you expressly assume all risks associated with cryptocurrency markets and with reliance on AI-generated analysis and signals, and you waive any claim that you were unaware of, or lacked adequate notice of, those risks. TranceAI is a cryptocurrency market intelligence and analytics platform. The Platform aggregates publicly available market data and, using artificial intelligence and third-party data providers, presents analysis, commentary, and research tools. Depending on your subscription tier, features may include, without limitation:

• AI-generated market analysis, summaries, and commentary
• Technical analysis using price action, publicly known indicators, and chart patterns
• Directional research outputs, presented as "long," "short," "watch," or "no trade," together with illustrative reference price levels ("entry points")
• On-chain blockchain analytics, wallet and token research, and view-only wallet/whale tracking on supported networks
• Cryptocurrency news aggregation and sentiment analysis
• Watchlists, alerts, and portfolio dashboards
• Educational content about cryptocurrency markets

The specific features available to you depend on your subscription plan and are subject to change as described in Section 21.

ALL CONTENT, ANALYSIS, SIGNALS, AND OUTPUTS PROVIDED THROUGH THE PLATFORM ARE FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. Nothing on the Platform constitutes financial, investment, trading, tax, accounting, or legal advice, nor a recommendation or solicitation to buy, sell, hold, or otherwise transact in any cryptocurrency, token, or financial instrument. Trance Intelligence LLC is not a registered investment adviser, broker-dealer, futures commission merchant, exchange, custodian, or financial institution of any kind under the laws of the United States or any other jurisdiction, and does not provide personalized investment advice tailored to your individual circumstances, financial situation, or objectives. You should consult a qualified, independent financial advisor, tax professional, and/or attorney before making any decision based on information obtained through the Platform.

The Platform's analysis and signal outputs, including any "long," "short," "watch," or "no trade" designations and any accompanying reference entry points, are generated using artificial intelligence models and automated processes applied to third-party market data and publicly known technical indicators. These outputs:

• Are generalized, algorithmically-derived research observations, not individualized recommendations directed at you or your specific financial situation
• May be incomplete, delayed, inaccurate, or based on flawed, stale, or erroneous third-party data
• Do not guarantee any particular outcome, price movement, or level of profitability, and past signal performance is not indicative of future results
• May change or be revised without notice as underlying data or model outputs change
• Should never be the sole basis for any trading or investment decision

You acknowledge that artificial intelligence technology has inherent limitations and can produce results that are incorrect, biased, or misleading, and that you assume full responsibility for independently verifying any information before relying on it.

TranceAI does not execute trades, does not act as a broker or exchange, and does not take custody of, control, or have access to your cryptocurrency, funds, or private keys at any time. Any wallet address you provide, wallet connection you authorize, or exchange API key you enter is used strictly to read publicly available balance and transaction data for display purposes. The Platform cannot and will not initiate trades, transfers, swaps, deposits, or withdrawals on your behalf. You are solely responsible for the security of your own wallets, private keys, exchange accounts, and API credentials.

The Platform relies on third-party data providers, application programming interfaces (APIs), blockchain networks, and infrastructure and service providers (including but not limited to payment processing, hosting, database, and AI-model providers) to operate. We do not control, and cannot guarantee, the continued availability, accuracy, completeness, or timeliness of any third-party data or service. Outages, delays, errors, or discontinuation of any third-party service may disrupt or degrade the Platform, and Trance Intelligence LLC is not liable for any resulting loss or damage. Your use of any third-party service accessed through or connected to the Platform is subject to that provider's own terms and privacy policy.

TranceAI offers a free tier and one or more paid subscription tiers, as described on our Pricing page and subject to change. Paid subscriptions are billed in advance on a recurring basis through our third-party payment processor. By subscribing to a paid plan, you authorize us (through our payment processor) to charge your chosen payment method on a recurring basis until you cancel. You are responsible for maintaining valid, current payment information. Fees are described in the accompanying Refund & Subscription Policy, which is incorporated into these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information when creating an account and to promptly update it as necessary. You must notify us immediately of any unauthorized use of your account. You agree that you are solely responsible for:

• All trading, investment, and financial decisions you make, whether or not informed by the Platform
• Independently verifying any information before acting on it
• Complying with all laws applicable to you, including tax reporting obligations related to cryptocurrency activity
• Maintaining the security of your own devices, credentials, wallets, and accounts

You agree not to: (a) use the Platform for any unlawful purpose or in violation of any applicable law or regulation; (b) attempt to gain unauthorized access to the Platform, other users' accounts, or our systems; (c) reverse-engineer, decompile, scrape, or attempt to extract the underlying models, algorithms, or source code of the Platform; (d) use automated means (bots, scrapers) to access the Platform except through any API we expressly provide; (e) resell, sublicense, or redistribute the Platform's outputs as a competing commercial product or service; (f) misrepresent Platform content as your own independent research when redistributing it commercially; or (g) interfere with or disrupt the integrity or performance of the Platform.

The Platform, including its software, design, AI models, analysis methodology, trademarks, logos, and all content generated by us (collectively, "Our Content"), is owned by Trance Intelligence LLC or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use. You may share individual pieces of analysis you have viewed (for example, to social media or with friends) for personal, non-commercial purposes, provided you do not remove attribution, misrepresent the content, or use such sharing for a commercial purpose without our written permission. You may not copy, reproduce, or resell Our Content, or any AI model or analysis engine derived from or resembling the Platform, in whole or in part.

We may suspend or terminate your account or access to the Platform, with or without notice, at our sole discretion, including for suspected violation of these Terms, suspected fraudulent or unlawful activity, non-payment, or if required by law. You may cancel your account at any time as described in the Refund & Subscription Policy. Upon termination, your right to use the Platform will immediately cease; provisions of these Terms that by their nature should survive termination (including Sections 3 and 5–20) will survive.

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT ANY ANALYSIS, SIGNAL, OR PIECE OF CONTENT ON THE PLATFORM IS ACCURATE, RELIABLE, COMPLETE, OR TIMELY, OR THAT USE OF THE PLATFORM WILL RESULT IN ANY PARTICULAR FINANCIAL OUTCOME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRANCE INTELLIGENCE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR TRADING/INVESTMENT LOSSES, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless Trance Intelligence LLC and its officers, directors, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) any trading, investment, or financial decision you make; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

These Terms are governed by, and construed in accordance with, the laws of the State of California, United States, without regard to its conflict-of-laws principles, except to the extent superseded by the arbitration provisions in Section 18. Subject to Section 18, you agree that any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Los Angeles, California, United States, and you consent to the personal jurisdiction of such courts.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform will be resolved by binding, individual arbitration administered by arbitration provider, e.g., JAMS or AAA under its applicable rules, rather than in court, except that either party may bring an individual claim in small claims court. YOU AND TRANCE INTELLIGENCE LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. The arbitration will take place in Los Angeles, California, United States, or another mutually agreed location, or may be conducted remotely/by written submission where permitted by the arbitration provider's rules. If any part of this arbitration provision is found unenforceable, the remainder will remain in effect, except that the class-action waiver may not be severed from the arbitration provision as to any claim that proceeds in court.

The Platform is operated from the United States and made available to users worldwide on an "as-is" basis. We make no representation that the Platform, or any signal, analysis, or content on it, is appropriate, legally permitted, or available in every jurisdiction. Cryptocurrency-related content, including directional trading signals, may be restricted or prohibited in certain countries. If you access the Platform from outside the United States, you do so on your own initiative and are solely responsible for compliance with local laws, including any local licensing or registration requirements that may apply to receiving this type of content.

We may modify these Terms at any time. Material changes will be notified to users through the Platform or by email at least 7 days before taking effect, unless the change is required sooner by law or for security reasons. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

These Terms, together with the Privacy Policy, Risk Disclosure, Disclaimer, and Refund & Subscription Policy, constitute the entire agreement between you and Trance Intelligence LLC regarding the Platform. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver. You may not assign these Terms without our written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
